Terms of Service

You (the "Subscriber," "you," or related terms) are obtaining a subscription to services (defined below) operated by Hong Kong company CAPRA TECHNOLOGY LIMITED (hereinafter: "CAPRA") from a third party ("Distributor") authorized to sell such subscriptions, which third party operates under an independent agreement with CAPRA ("Distributor Agreement"). This Agreement contains the terms and conditions governing your access to and use of the Services in addition to any agreement between you and the Distributor related to any terms and conditions regarding your use of the Services. By accepting this Agreement, whether by accessing or using the Services, or by authorizing or permitting any agent or End User to access or use the Services, you agree to be bound by this Agreement from the date of such access or use of the Services (the "Effective Date"). If you are entering into this Agreement on behalf of a company, organization, or other legal entity (an "Entity"), you agree to enter into this Agreement on behalf of that Entity and warrant to CAPRA that you have the right to bind that Entity and its Affiliates to this Agreement, in which case the terms "Subscriber," "you," "your," or related capitalized terms in this Agreement will refer to that Entity and its Affiliates. 1. Subscription Services 1.1 Services: We will make the Services and your Service Data available to you according to your Service Plan pursuant to this Agreement. We will use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, except for (a) planned downtime (of which we will give advance notice through our website or to the Account Owner); and (b) any Force Majeure Event. 1.2 Support: We will provide you with applicable standard customer support services at no additional charge as described on our corresponding website. 1.3 Modifications: You acknowledge that CAPRA may modify the options and features of the Services during the Subscription Term. CAPRA will provide you with commercially reasonable advance notice of any material options or features. 2. Cancellation and Termination 2.1 All purchases are non-refundable. You may cancel your subscription at any time by emailing enquiry@capraedu.com. Your cancellation will be effective at the end of the current payment period. 2.2 Following the termination or cancellation of your subscription to the Services and/or Account, we reserve the right to delete all Service Data in the normal course of operation. Service Data cannot be recovered once your Account is cancelled. 3. Intellectual Property Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of Hong Kong SAR, foreign jurisdictions, and international conventions. Subject to your compliance with these Terms of Use, and your eligibility to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks. 4. User Representations By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Site through automated or non-human means, whether through a bot, script, or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and your use of the Site will not violate any applicable law or regulation. 5. Fees and Payment Payments for CAPRA services made by credit card, debit card, or certain other payment instruments will be settled and processed by Stripe/PayPal payment gateways. You may be required to purchase or pay fees to access some of our Services. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. You agree to pay all charges or prices then in effect for your purchases at the time such charges are incurred, and you authorize us to charge your chosen payment provider for any such amounts upon your making a purchase. If your purchase is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you notify us of your cancellation. 6. Free Trial We offer a 15-day free trial to new users who register on the Site. The account will not be charged, and the subscription will be suspended until upgraded to a paid version before the free trial period ends. 7. Prohibited Uses You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user of the Site, you agree not to: (1) Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us. (2) Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses. (3) Engage in unauthorized framing of or linking to the Site. (4) Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords. (5) Make improper use of our support services or submit false reports of abuse or misconduct. 8. Disclaimer The Site is provided on an as-is and as-available basis. You agree that your use of the Site and our services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Site and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 9. Limitation of Liability In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site, even if we have been advised of the possibility of such damages. 10. Governing Law These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of Hong Kong SAR applicable to agreements made and to be performed wholly within Hong Kong SAR, without regard to its conflict of law principles. 11. Dispute Resolution We want to address your concerns without needing a formal legal case. Before filing a claim against CAPRA, you agree to try to resolve the dispute informally by contacting us at enquiry@capraedu.com. We'll try to resolve the dispute informally by contacting you via email. Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of that party's data security, Intellectual Property Rights or other proprietary rights. 12.
